It all comes down to how you interpret the movie. I didn't see much of a harrowing, complex story that some others may have saw, but they obviously did. JakeGittes's perspective is such. Does that mean I'm not reading into it? No. Is Jake reading into it too much and drawing false conclusions? No. It reflects on each of us as an individual. My favorite movie is Ikiru, and the way I read into it makes it a wonderful experience for me. Others may not see it that way, but that's just how I feel. You can't convince me that it's the greatest movie ever made, but I can't say to you that it isn't. So now what? I guess we live in a society where I should start this off by telling you all how I'm not a Nolan fanboy. I've thought for the most part that his films have been good (Moment, Inception, Batman Begins, etc.) but nothing special. The Dark Knight, on the other hand, IS the best movie adapted from a super hero comic. It transcends being just a "super hero movie" an is a great movie in general. My only gripe with it is that it's a tad long. Still the next best super hero movie is X-Men: First Class and it isn't close. People who like the film understand that it's about more then just a man in a bat suit running around. It's about the struggle for Gotham's "soul". Each character symbolizes much more then themselves and their is the underlying theme of what makes a hero a hero. People who don't like the film didn't understand what the film really was about, and got bored watching a man in a bat suit run around. OR They just dislike the movie because there are people who enjoy the movie but go off on how great it was... and people naturally dislike things that the general population likes because it makes them rebels. A side note on Ledger vs Nickelson... Ok Jack is a great actor but come on. Jack was really just being Jack. Ask any actor out there which role would be easier to emulate and they'll tell you Jack's performance. Heath went through an AMAZING transformation in that role. Look at the past work he's done. I mean holy crap. See if Brad Pitt, George Cloony, Leonardo DiCaprio or any other A list actor can emulate what Heath did. No it’s not overrated.

Unfortunately, that's the entire general public. Go watch some cult-classics or read some books. So you can implement the shadow archetype, highlight the corruption of society, and have a character develop into a synthesis while providing explosions and violence for the simple minded... Much more impressive and thought-provoking things have happened. I wish the majority could be more intelligent and actually think critically. Go open your mind up to the truly amazing stories out there that lie dormant and tragically under-appreciated. Only people who are inexperienced in the realm of good stories find the movie amazing.
